SEC Charges Fraud in International Sale of Texas Oil and Gas Investments

On June 16, 2010, the Securities and Exchange Commission filed suit in the U.S. District Court for the Northern District of Texas, Lubbock Division, alleging that Justin Solomon of Deerfield Beach, Florida, and three affiliated companies fraudulently sold investments in Texas oil and gas projects to overseas investors. The defendants have offered to consent to a preliminary injunction against further fraudulent sales, the repatriation of any remaining investor assets, and other relief.

According to the Commission’s complaint, since 2007, three companies Solomon controls — Seisma Oil Research, LLC of Boca Raton, Florida and two Aruban affiliates, Seisma Energy Research, AVV and Permian Asset Management, AVV (collectively, “Seisma”) — have used high-pressure sales tactics to raise at least $25 million from more than 400 non-U.S. investors through the offer of units in six joint ventures, of which Seisma is the managing venturer. The ventures were supposed to purchase undivided working interest in oil and gas projects owned and operated by two unrelated Texas companies. According to the complaint, however, Seisma never acquired any working interest for two of the six ventures and has expended only $9.5 million of the funds raised toward acquiring interests on behalf of the ventures. The complaint also alleges that Seisma misrepresented or omitted material facts about the profitability and prospects of the oil and gas opportunities.

The Commission’s complaint alleges that Seisma and Solomon violated Section 17(a) of the Securities Act of 1933 and Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder. The Commission’s complaint seeks permanent injunctive relief, civil penalties and disgorgement of the proceeds of the fraud, as well as the agreed preliminary injunction, repatriation of all investor funds, an accounting and orders preserving documents.

The Commission acknowledges the assistance of the Financial Services Authority of the United Kingdom; the City of London Police; the Federal Financial Supervisory Authority of Germany; the Ontario Securities Commission; the Nova Scotia Securities Commission; and the Florida Office of Financial Regulation, Division of Securities.

I received a letter today dated 3/24/2008 from Fido marketing solutions Inc., 475 Brookside DR Frederiction., New Brunswick,. E3A 8Z4 Canada, saying I was a winner in the second category of Sweepstakes,(Claim # FM/LC/8/6/N)with a check enclosed for the amount of $4,365.85 deducted from my winnings ($180,000 US Dollars)to assist me in paying for the Non Resident Government Tax – $2,800.00 to go to Surcharges/Govt.tax due on your winning, but not to do anything until contacting Daniel Peters at 1-647-233-1285 for activation, letter was signed by Russell Weinstein (Client Care Manager).

Check was a Citibank Delaware, One Penns Way, New Castle Delaware, from Global Services Inc., Accounts Payable Dept. P.O. Box 2339, Cherry Hill, NJ 08002- looked real. I couldn’t find anything under any of these names.

I wondered how these people came up with my name and address – I never enter anything. Well, I may be broke, but I’m not stupid. So, I happened upon this site and sure enough, there were other stories with the same scam just under different people. Hopefully you can do something. GO GET ‘EM.

How about a check from Best Mark Research group, out of US Bank in Washington state? My check was for more than 3,000; it’s to “Pay for taxes” on imminent prize of 125K. I called, as you all did, to speak to “John Morris,” who had a decidedly Indian accent. And yes, I was told to deposit the 3K, call back, and then be told where to send payment. Gosh, how do they get away with this stuff? I am calling 1-877-FTC-HELP at 9am this morning, in order to report this.

BBB – Warning About Advance Fee Loan Offer

RICHMOND, VA (WWBT) – The Better Business Bureau says people are losing thousands of dollars after falling for an advance fee loan scam. In tonight’s 12 On Your Side Alert, how it works and who is most at risk.

If you are struggling to make ends meet financially – you are a prime target for people who operate these advance fee loan schemes, but the BBB says you don’t have to be victim.

Times are tough and we can all use a little extra cash, but the Better Business Bureau warns – don’t be fooled by advanced fee loan gimmicks.

“The way they work it through is they tell you…you need to go get a money order and wire that money order, and you wire that money order, and you do a wire transfer, and the bank is an international bank typically in Canada, sometimes Nigeria, sometimes Europe…and that’s how it happens,” said Tom Gallagher with the BBB.

Bottom line, your money is gone. Gallagher says the person looking to dupe you usually wants you to send a large sum of money before you to get the so called loan.

“Don’t send money in advance. Don’t send an advance fee. That’s where the scam comes in,” he said.

Gallagher says legitimate lenders will never ask for money before they loan you money. He says the criminals prey on people’s financial troubles.

“In a situation like this, the folks that are the victims are the folks who are the neediest. They are desperate. They are afraid they are going lose their house. They are afraid their mortgage will be foreclosed on. They’ve got medical bills they can’t meet. They are really, really worried,” Gallagher said.

You don’t have to be a victim. Here are some red flags:

  • The lender has a bad reputation or none at all.
  • The lender is not registered in your state to do business.
  • Finally, the lender wants you to wire money or send a money order.

Here’s a look at some of the businesses the BBB has received complaints on in connection with the advance fee loan issue.

The BBB says most people fall for the fake loans while surfing online or after reading a bogus ad.

“It makes it almost impossible to track it down. We’ve seen some prosecutions in the past. They set it up and get the money – it’s a quick hit, and then they get out,” Gallagher said.

If you need to borrow money, the BBB says you should contact your bank or a reputable company. If you have doubt – do your research, ask lots of questions or even contact the BBBdirectly.
